The paid-up share capital of the Company, as on 9th February, 2024 is Rupees 1247,91,15,001 (Rs. 1247.91 crores) divided into 1247,91,15,001 Ordinary Shares of the face value of Rupee 1/- each.

11,21,04,72,307 Ordinary Shares of the Company, representing 89.83% of the Company's paid up capital, as on 9th February, 2024 are held in dematerialised form.

Annual General Meeting (AGM)

The 112th Annual General Meeting (AGM) of the Company was held on Friday, 11th August, 2023 through Video Conferencing / Other Audio Visual Means.

All the Resolutions for consideration at the 112th AGM in respect of the items set out in the notice dated 18th May, 2023 were passed by the Members by requisite majority through remote e-voting and e-voting during the AGM.

 

Final Dividend and Special Dividend for the financial year ended 31st March, 2023

The Members of the Company, at the 112th AGM held on 11th August, 2023, declared Final Dividend of Rs. 6.75 and Special Dividend of Rs. 2.75, aggregating Rs. 9.50 per Ordinary Share of Re. 1/- each for the financial year ended 31st March, 2023. The said Final Dividend and Special Dividend is in addition to Interim Dividend of Rs. 6.00 per share declared by the Board of Directors of the Company on 3rd February, 2023 and paid to the Members on 3rd March, 2023.

The aforesaid Final Dividend and Special Dividend has been paid on Monday, 14th August, 2023 to those Members entitled thereto and whose names appeared in the Register of Members of the Company on the Record Date i.e. 30th May, 2023.

Interim Dividend 2022-23

The Board of Directors of the Company on 3rd February, 2023 declared interim dividend of Rs. 6/- per Ordinary Share of Re. 1/- each. The said Interim Dividend was paid on Friday, 3rd March, 2023 to those Members entitled thereto and whose names appeared in the Register of Members of the Company on the Record Date i.e. 15th February, 2023.

Unclaimed Dividend

Unclaimed dividend for the years prior to and including the financial year 2015-16 has been transferred to the General Revenue Account of the Central Government / the Investor Education and Protection Fund (IEPF) established by the Central Government, as applicable.

Dividend remaining unclaimed for 7 years will be transferred by the Company to IEPF in accordance with the schedule attached. Click here for the schedule.

Transfer of Ordinary Shares to the Investor Education and Protection Fund

Pursuant to the provisions of Section 124(6) of the Companies Act, 2013, read with the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016, Ordinary Shares of the Company in respect of which dividend entitlements remained unclaimed for seven consecutive years from the financial year ended 31st March, 2016 have been transferred to the Investor Education and Protection Fund (IEPF) in September 2023.

The Company had earlier sent individual letters to the concerned Members who had not claimed their aforesaid dividend providing them an opportunity to lodge their claim with the Company in respect of the same. Notices in this regard were also published by the Company in leading English and Bengali newspapers.

 

Claim from the Investor Education and Protection Fund Authority

The Members may claim their shares and/or seek refund of their dividend from the Investor Education and Protection Fund (IEPF) Authority by following the procedure prescribed under the IEPF Authority (Accounting, Audit, Transfer and Refund) Rules, 2016 (IEPF Rules).

Mr. R. K. Singhi, Executive Vice President & Company Secretary, is the Nodal Officer and Messrs. T. K. Ghosal and K. S. Madia, Deputy Secretaries, are the Deputy Nodal Officers of the Company under the IEPF Rules.
